What phone has a fast processor and is also waterproof?

Out of the two choices, I would probably say the Acro S fits your bill better given it is running a slightly faster CPU at 1.5GHz and a better camera. Although the Acro S has a LCD screen instead of an AMOLED, the higher pixel density (341PPI) and screen resolution (1280x720) of its screen would provide sharper and better quality image. 

However, if you can wait until the end of this year, an upgraded version of the RAZR MAXX named RAZR MAXX HD is coming out on Q4, which provide a better screen (321PPI, 1280x720), better processor (dual core, 1.5GHz) and will also support Bluetooth 4.0 and 4G LTE while having the same size. The MAXX HD would also pack a better GPU compared to Acro S (Adreno 225 vs Adreno 220).The only thing you'll miss out with the RAZR MAXX HD is the FM radio.

I would recommend the Sony Xperia Acro S. I like that other then meeting all of your needs its also waterproof. Its got a 12 MP camera which would take good pictures for a cell phone. It meets all of your needs and seems like it would be a great fit for you.
